Terms & Conditions

The Head Office of Dellentra Ltd is located at: 121 NO1, Thames Valley, Wokingham Road, Bracknell, England, United Kingdom, RG42 1AG. These Terms and Conditions apply to work carried out from any office of Dellentra Ltd or any company within the Dellentra group.

Scope of Business

The primary business of Dellentra Ltd (but not limited to) includes providing design and development resources for:

Website publishing, design, and software application development.

Mobile application development.

IT support and hosting services.

Quality Analysis (QA)

Digital Media services.

E-marketing solutions including Digital Marketing (SEO), Pay Per Click (PPC), e-communication strategy, Data Analysis, Reporting, and Research.

Project Basis & Fees

Projects are undertaken on a time and materials basis, unless a fixed price is agreed in writing.

All fees are estimated and exclusive of VAT or other applicable taxes.

Estimates are valid for 30 days from the date of issue.

Payment terms are based on prior weekly or monthly bookings, which allocate developer resources unless otherwise agreed in writing.

Resource Allocation & Working Hours

Dedicated resource(s) will be allocated to your project, along with functional support staff such as a Team Leader or Project Manager if requested.

Resources generally operate from the Indian office unless working onsite or from the UK/India offices.

The Indian office operates Monday–Friday, 10 AM–7 PM IST (GMT +5:30 / BST +4:30). Public holidays are notified in advance, with compensatory work scheduled as agreed.

Quality of Service

Dellentra Ltd is committed to providing services to the highest standard, delivered timely and with professionalism.

All correspondence will be addressed promptly, and alternative contacts provided if necessary.

Clear and concise information about estimates and projects will be communicated throughout the process.

Dellentra Ltd guarantees high-quality and cost-effective services.

Client Responsibilities

To ensure smooth project execution:

Provide clear instructions to allow accurate estimates and efficient work.

Respond promptly to communications to avoid project delays.

Notify if unavailable to respond to requests.

Report dissatisfaction promptly for resolution.

Regularly check your Online Project Management Area and emails for project updates.

What Dellentra Ltd Will Not Do

Work on a live server unless explicitly agreed. A sandbox environment will generally be provided.

Hold the only set of data; clients should provide test data or copies of live databases.

Fill developers’ day; tasks must be supplied by the client.

Tolerate abuse of staff members or contact end customers directly.

Outsource client work to third parties.

Basis of Charging Fees

Work on a live server unless explicitly agreed. A sandbox environment will generally be provided.

Hold the only set of data; clients should provide test data or copies of live databases.

Fill developers’ day; tasks must be supplied by the client.

Tolerate abuse of staff members or contact end customers directly.

Outsource client work to third parties.

Basis of Charging Fees

Dedicated Service: Time and materials, sold in daily, weekly, or monthly blocks.

Ad-hoc / Bucket Service: Time and materials, sold in 10, 20, or 40-hour blocks, worked in 10-minute increments.

Acceptance of Services

Clients must review, test, and sign off project sections timely. Delays may affect overall project delivery.

Post-completion testing considers only Dotsentra-caused defects; non-Dellentra defects are the client’s responsibility.

Clients are responsible for backup of work at all stages. Use of a sandbox server is strongly recommended.

Invoicing & Payment

Payment of the first invoice constitutes acceptance of these Terms & Conditions.

Charges are based on standard rates, amendable with one month’s notice.

Weekly rates assume an 8-hour day, 5-day week; daily rates assume an 8-hour day.

Bucket hours must be used within 6 months of booking.

Invoices must be paid in the currency issued; overdue payments may incur interest at 8% above the Bank of England base rate.

Project files may be removed from servers if invoices are unpaid.

Limitation of Liability

Dellentra Ltd is not liable for: loss of profits, business, goodwill, anticipated savings, or indirect/consequential losses.

Liability is limited to total charges paid for services in the preceding 12 months.

Liability for death, personal injury, or fraud is not limited.

Termination

Dellentra Ltd may terminate services if:

Payment is not received within 7 days of notice

Material breach occurs and is not remedied within 14 days of notice.

The client becomes insolvent or bankrupt.

The project became unworkable through no fault of Dellentra Ltd.

Upon termination, all outstanding invoices are immediately due. Licenses granted terminate, and accrued rights and liabilities remain unaffected. Notifications of termination will be via sales@dellentra.com, with client notification requiring the same email and copies to Project Manager and Developer.

Warranty

Clients must report errors in writing during the 30-day warranty period.

Dellentra Ltd will correct defects at no cost if caused by Dellentra.

Warranty does not cover issues caused by client or third-party interference, server changes, or non-Dellentra code.

No guarantee of commercial success is made.

Online Project Management Area

Temporary access is provided for project administration.

Access may be suspended or withdrawn without notice.

Clients are responsible for account confidentiality and compliance with terms.

Dellentra Ltd is not liable for viruses, DDoS attacks, or other technological risks.

Intellectual Property Rights

Each party retains proprietary rights to confidential information and prior IP.

All IP developed by Dellentra Ltd for the client becomes exclusive property of the client upon payment.

Dellentra Ltd will assist clients in securing patents, copyrights, trademarks, and other protections.

Dispute Resolution

Initial disputes are referred to the Project Manager.

Unresolved disputes escalate to senior account managers, and then to Dellentra leadership.

No claims or refunds are recognized outside the Warranty Period.

Non-Compete

Clients may not solicit Dellentra developers or employees during the project or for 12 months post-project.

Commissioning work from developers or employees directly is prohibited.

Violations may result in claims for damages, including lost profits.

Governing Law

This agreement is governed by the laws of England and Wales.

Disputes fall under the exclusive jurisdiction of the courts of England and Wales.

These Terms constitute the entire agreement between parties, superseding prior agreements.
